Channel Your Inner Michelangelo

Right around the turn of the 16th century when Michelangelo was at his prime, he described a sculpture: “I saw the angel in the marble and carved until I set him free.”

One could say that this mentality is also required today when carving out a division or line of business from a corporate parent. Moreover, precision chiseling on the transaction service agreement (TSA) is increasingly a required skillset for carve out transitions, and separates the amateurs from the masters of M&A.

With 2015 set to be another strong year for carve outs, bring out your inner Michelangelo and focus on the details of the TSA and “set it free.”
